Refund Policy - the basics

Having said that, a Refund Policy is a legally binding document that is meant to establish the legal relations between you and your customers regarding how and if you will provide them with a refund. Online businesses selling products are sometimes required (depending on local laws and regulations) to present their product return policy and refund policy. In some jurisdictions, this is needed in order to comply with consumer protection laws. It may also help you avoid legal claims from customers that are not satisfied with the products they purchased.

What to include in the Refund Policy

Generally speaking, a Refund Policy often addresses these types of issues: the timeframe for asking for a refund; will the refund be full or partial; under which conditions will the customer receive a refund; and much much more.

This Refund Policy (“Refund Policy”) sets out the terms and conditions governing refund requests, reversals, reimbursements, credits, chargebacks, dispute handling procedures, and related matters in connection with the Services provided by PayFun (“PayFun”, “we”, “our”, or “us”).

 

Users acknowledge and agree that Digital Asset transactions, blockchain transactions, Virtual Card transactions, payment settlements, Digital Asset conversions, and related activities involve technological, operational, market, liquidity, cybersecurity, and compliance risks, and that refunds may not be available in many circumstances due to the nature of blockchain technology, Digital Assets, decentralized systems, card network rules, third-party dependencies, and Applicable Laws.

1. General Principles

1.1. Except where otherwise required under Applicable Laws, completed transactions are generally non-refundable, irreversible, final, immutable, and non-cancellable.

1.2. Users expressly acknowledge and agree that blockchain transactions are generally irreversible, immutable, final, non-cancellable, and incapable of being reversed once submitted to, confirmed by, recorded on, or processed through a blockchain network or related decentralized infrastructure.

1.3. Except where otherwise required under Applicable Laws, PayFun shall have no obligation whatsoever to provide any refund, reversal, reimbursement, compensation, recovery, replacement, restoration, or credit in connection with any transaction, Digital Asset transfer, conversion, settlement, payment instruction, Virtual Card transaction, blockchain activity, or use of the Services, and all refund determinations shall be made by PayFun in its sole and absolute discretion. Refunds shall generally not be available for:

a. completed blockchain transactions; 

b. Digital Asset transfers already confirmed on-chain; 

c. transactions involving incorrect wallet addresses or payment information provided by Users; 

d. unsupported or incompatible Digital Assets; 

e. user errors, negligence, or omissions; 

f. phishing attacks or compromised credentials; 

g. market fluctuations or exchange rate changes; 

h. completed Digital Asset conversion transactions; 

i. slippage losses; 

j. authorized and settled Virtual Card transactions; 

k. merchant disputes; 

l. goods or services provided by third parties; 

m. blockchain network failures or congestion; 

n. smart contract failures; 

o. sanctions-related restrictions; 

p. compliance holds; or 

q. circumstances beyond PayFun’s reasonable control.

1.4. Submission of a refund request, satisfaction of any eligibility criteria, or initiation of any review procedure shall not guarantee approval, processing, payment, or recovery of any refund.

2. Eligible Refund Circumstances

2.1. Refund requests may be reviewed, assessed, investigated, verified, considered, approved, rejected, delayed, suspended, restricted, reversed, cancelled, withheld, conditioned, or otherwise handled solely at PayFun’s discretion in circumstances including but not limited to:

a. duplicate charges caused by technical errors;

b. system failures resulting in unsuccessful transactions despite successful deductions;

c. verified unauthorized account activities;

d. merchant-approved refunds;

e. settlement failures;

f. rocessing errors;

g. perational errors attributable to PayFun; or

h. other exceptional, unforeseen, or extraordinary circumstances determined by PayFun in its sole and absolute discretion. 

2.2. All refund requests shall be subject to such identity verification procedures, compliance reviews, fraud prevention reviews, sanctions screening procedures, transaction monitoring activities, blockchain analytics assessments, operational assessments, investigations, internal approval procedures, cybersecurity reviews, enhanced due diligence measures, or other verification and compliance procedures as PayFun may deem necessary or appropriate.

 

2.3. PayFun reserves the unrestricted right, at any time and without prior notice or liability, to reject, suspend, restrict, delay, reverse, withhold, deny, condition, or refuse any refund request where PayFun determines, in its sole and absolute discretion, that fraudulent, suspicious, unauthorized, unlawful, misleading, deceptive, abusive, or improper activity may have occurred, misleading, false, inaccurate, incomplete, or unverifiable information has been provided, compliance concerns or sanctions risks may arise, anti-money laundering or counter-terrorist financing concerns may arise, cybersecurity concerns or operational risks may arise, disputes remain unresolved, investigations are ongoing, Applicable Laws may restrict refunds, or operational, legal, regulatory, reputational, commercial, financial crime, enforcement, security, or risk management concerns may arise or where such action is otherwise deemed necessary or appropriate by PayFun to protect its legitimate interests or those of its affiliates, banking partners, custodians, payment processors, card issuers, service providers, merchants, regulators, or other third parties.

3. Refund Request Procedures

3.1. Users requesting refunds shall submit such requests exclusively through the official support channels designated by PayFun and shall provide complete, accurate, current, and verifiable transaction information together with all supporting documentation, records, evidence, declarations, attestations, explanations, confirmations, correspondence, screenshots, wallet information, blockchain records, authentication information, identification documents, or other materials reasonably requested by PayFun from time to time.

3.2. Users shall fully cooperate with all identity verification procedures, compliance reviews, sanctions screening procedures, fraud prevention assessments, cybersecurity reviews, blockchain analytics reviews, investigations, operational procedures, dispute resolution procedures, chargeback investigations, law enforcement requests, and other compliance or investigative processes initiated by PayFun in connection with any refund request.

3.3. Users acknowledge and agree that any failure, refusal, delay, inability, or omission in providing requested information, completing verification procedures, cooperating with investigations, or satisfying PayFun’s compliance or operational requirements may result in rejection, denial, suspension, restriction, delay, withholding, cancellation, or reversal of refund requests, suspension or restriction of Services, transaction holds, freezing of assets, account restrictions, enhanced monitoring measures, or account termination.

3.4. PayFun reserves the unrestricted right, at any time and without prior notice or liability, to reject, refuse, suspend, restrict, delay, reverse, withhold, or otherwise decline to process any refund request that PayFun determines, in its sole and absolute discretion, to be incomplete, inaccurate, unsupported, unverifiable, misleading, deceptive, abusive, excessive, fraudulent, suspicious, unlawful, unauthorized, non-compliant, or otherwise improper.

4. Refund Processing Time

4.1. Refund processing timelines may vary significantly depending upon merchant processing timelines, card network settlement procedures, blockchain confirmation requirements, blockchain congestion, validator performance, banking system processing times, liquidity availability, compliance reviews, fraud investigations, sanctions screening procedures, cybersecurity reviews, operational assessments, chargeback procedures, dispute resolution processes, law enforcement requests, regulatory requirements, transaction monitoring activities, internal approval procedures, technical limitations, operational requirements, and third-party processing timelines or dependencies.

4.2. Refund processing may, at any time and without prior notice, be suspended, delayed, restricted, withheld, conditioned, or otherwise deferred pending completion of investigations, compliance reviews, dispute resolution procedures, chargeback investigations, fraud assessments, sanctions screening procedures, enhanced due diligence reviews, law enforcement cooperation activities, cybersecurity assessments, operational reviews, regulatory inquiries, or other verification or compliance procedures deemed necessary or appropriate by PayFun.

4.3. Users acknowledge and agree that refunds may require several business days or more to process depending upon the circumstances, complexity of the matter, third-party involvement, legal or regulatory requirements, operational considerations, or external dependencies.

4.4. PayFun does not represent, warrant, or guarantee any specific refund processing timeline, turnaround time, settlement date, completion timeframe, recovery period, or availability of funds.

4.5. To the fullest extent permitted by Applicable Laws, PayFun shall not be responsible or liable whatsoever for any delays, interruptions, failures, or inability to process refunds arising directly or indirectly from or relating to merchants, banking partners, custodians, blockchain networks, validators, exchanges, liquidity providers, payment processors, telecommunications providers, internet service providers, infrastructure providers, cloud service providers, card networks, law enforcement agencies, regulators, governmental authorities, operational disruptions, technical failures, cybersecurity incidents, sanctions restrictions, or any other third parties, systems, technologies, infrastructure, or circumstances beyond PayFun’s reasonable control.

5. Refund Methods

5.1. Refunds, where approved, may be processed, settled, credited, reversed, reimbursed, transferred, or otherwise fulfilled through one or more methods determined by PayFun in its sole and absolute discretion, including reversal to the original payment method, Digital Asset transfers, fiat currency settlements, stablecoin settlements, wallet balance credits, account credits, replacement transactions, offset arrangements, alternative settlement methods, or any other form of value, compensation, or settlement mechanism deemed appropriate by PayFun.

5.2. Refunds may be denominated, converted, settled, calculated, processed, or paid in Digital Assets, fiat currencies, stablecoins, account credits, alternative Digital Assets, substitute assets, or other forms of value determined by PayFun in its sole discretion, and Users expressly acknowledge and agree that PayFun shall have no obligation to process refunds using the same asset type, exchange rate, valuation methodology, payment method, or settlement mechanism used in the original transaction.

5.3. Refund amounts may differ materially from the original transaction values due to Digital Asset price volatility, exchange rate fluctuations, slippage, liquidity conditions, market disruptions, blockchain network fees, miner fees, validator fees, gas fees, settlement timing differences, foreign exchange spreads, third-party processing fees, operational costs, administrative expenses, compliance costs, settlement costs, custody expenses, market conditions, or other commercial, operational, technological, or market-related factors.

5.4. Refund amounts may further be reduced, offset, withheld, adjusted, or deducted by chargeback expenses, reversal costs, processing costs, network fees, operational losses, legal expenses, investigative costs, compliance costs, enforcement costs, taxes, governmental charges, or other losses, fees, costs, liabilities, or deductions incurred by PayFun or third parties in connection with the relevant transaction, refund request, dispute, investigation, or settlement process.

5.5. No interest, yield, staking rewards, appreciation, profits, returns, compensation, opportunity costs, or other economic benefits shall accrue or be payable in connection with any pending, delayed, suspended, restricted, withheld, disputed, rejected, or processed refund or any related account balance, Digital Asset, or settlement amount.

6. Non-Refundable Fees

6.1. Except where otherwise required under Applicable Laws, all blockchain network fees, gas fees, miner fees, validator fees, card network charges, interchange fees, chargeback fees, foreign exchange fees, conversion fees, processing fees, administrative fees, compliance costs, investigation expenses, settlement fees, operational costs, service fees already incurred, custody charges, liquidity costs, telecommunications charges, infrastructure costs, third-party processing charges, banking fees, intermediary fees, and other third-party charges, costs, expenses, deductions, or liabilities incurred in connection with the Services, transactions, settlements, refunds, reversals, investigations, compliance procedures, or operational activities shall be non-refundable, non-reversible, and non-creditable, regardless of whether a transaction, refund request, dispute, reversal, investigation, account restriction, or Service interruption is approved, completed, unsuccessful, suspended, delayed, cancelled, rejected, reversed, restricted, or terminated.

7. Fraud, Abuse, and Recovery Rights

7.1. PayFun reserves the unrestricted right, at any time and without prior notice or liability, to refuse, reject, suspend, restrict, reverse, claw back, recover, offset, deduct, debit, withhold, freeze, cancel, adjust, or otherwise decline to process any refund, reimbursement, settlement, credit, payment, Digital Asset transfer, account credit, or related transaction where PayFun determines, in its sole and absolute discretion, that fraudulent, suspicious, unauthorized, unlawful, abusive, deceptive, misleading, or improper activity may have occurred, false, inaccurate, incomplete, misleading, or unverifiable information has been provided, abuse of refund mechanisms or chargeback procedures is suspected, unauthorized activity has been identified, the User has breached the Terms or Applicable Laws, sanctions concerns or anti-money laundering risks may arise, compliance or operational concerns may arise, cybersecurity risks may exist, investigations are ongoing, disputes remain unresolved, or such action is otherwise deemed necessary or appropriate by PayFun for legal, regulatory, compliance, enforcement, security, operational, reputational, commercial, financial crime prevention, or risk management purposes.

 

7.2. PayFun further reserves the unrestricted right to recover, claw back, offset, deduct, reverse, debit, reclaim, or otherwise recoup any refund, reimbursement, settlement, credit, Digital Asset, fiat amount, account balance, or payment that PayFun determines, in its sole discretion, to have been processed in error, obtained fraudulently, obtained unlawfully, duplicated mistakenly, resulting from technical failures, operational errors, settlement discrepancies, chargeback reversals, blockchain anomalies, or processed in violation of Applicable Laws, card network rules, compliance requirements, or the Terms.

 

7.3. PayFun may, at any time and without prior notice, offset or apply any amounts owed by Users against refunds, wallet balances, account credits, Digital Assets, settlements, pending transactions, reimbursements, or any other amounts payable or otherwise attributable to such Users under the Services.

8. Merchant Disputes and Chargebacks

8.1. issues relating to goods, services, merchant conduct, product quality, delivery failures, warranties, merchant representations, pricing disputes, cancellations, defective products, merchant insolvency, unauthorized merchant conduct, third-party transactions, or any acts or omissions of merchants or other third parties shall be resolved directly and exclusively between the User and the relevant merchant or third party.

 

8.2. PayFun does not manufacture, supply, endorse, guarantee, verify, control, supervise, or assume responsibility for any goods, services, merchants, or third-party transactions facilitated through or connected to the Services. Accordingly, to the fullest extent permitted under Applicable Laws, PayFun shall not be responsible or liable whatsoever for any merchant conduct, merchant insolvency, product defects, delivery failures, service quality issues, contractual disputes, merchant fraud, unauthorized merchant activities, deceptive practices, charge disputes, third-party misconduct, or any acts, omissions, failures, or liabilities of merchants or other third parties.

 

8.3. PayFun reserves all rights relating to chargebacks, representments, transaction disputes, retrieval requests, card network investigations, recovery procedures, dispute handling activities, reversals, and related operational or enforcement measures in accordance with applicable card network rules, banking requirements, operational procedures, internal policies, and Applicable Laws.

 

8.4. In connection with any refund request, chargeback investigation, dispute review, fraud investigation, compliance review, or enforcement activity, PayFun may require Users to provide supporting evidence, transaction records, communications, receipts, invoices, screenshots, police reports, blockchain records, authentication records, device records, IP logs, correspondence, declarations, attestations, or other information or documentation deemed necessary or appropriate by PayFun.

 

8.5. Users acknowledge and agree that PayFun may rely upon blockchain records, internal records, authentication records, transaction logs, operational records, device records, IP logs, communications, settlement records, compliance records, forensic reports, transaction monitoring data, blockchain analytics, and related operational or technical evidence as conclusive, presumptive, or determinative evidence for purposes relating to refund determinations, dispute resolution, fraud investigations, operational reviews, compliance assessments, enforcement actions, or legal proceedings unless manifest error is established.

9. Cryptocurrency Volatility Disclaimer

9.1. Users expressly acknowledge and agree that Digital Asset values may fluctuate significantly, unpredictably, and rapidly between the time of the original transaction, the submission of a refund request, approval of a refund request, and processing or settlement of any refund, and accordingly refund values may differ materially from the original transaction values due to market volatility, exchange rate fluctuations, liquidity shortages, stablecoin depegging events, network congestion, settlement timing differences, slippage, trading conditions, market disruptions, blockchain conditions, or other commercial, technological, operational, or market-related factors. 

 

9.2. PayFun makes no representation, warranty, or guarantee whatsoever regarding Digital Asset values, exchange rates, refund equivalency, purchasing power, market prices, profitability, liquidity conditions, conversion outcomes, value preservation, or recovery values associated with any refund, settlement, reversal, reimbursement, or transaction processed through the Services.

 

9.3. Users assume sole and exclusive responsibility for all market risks, volatility risks, conversion risks, slippage losses, liquidity losses, trading losses, exchange rate risks, and valuation risks arising from or relating to the Services or any refund-related activities.

10. Limitation of Liability

10.1 To the fullest extent permitted under Applicable Laws, PayFun and its affiliates, shareholders, directors, officers, employees, agents, representatives, contractors, licensors, custodians, banking partners, payment processors, card issuers, exchanges, liquidity providers, service providers, infrastructure providers, and related third parties shall not be liable whatsoever for any indirect, incidental, consequential, punitive, exemplary, special, economic, or similar losses, damages, liabilities, costs, or expenses, including loss of profits, loss of opportunity, loss of anticipated savings, market losses, trading losses, reputational harm, loss of value, loss of business, loss of goodwill, or similar damages arising directly or indirectly out of or relating to refund requests, delayed refunds, rejected refunds, suspended refunds, dispute procedures, chargebacks, representments, blockchain delays, settlement failures, Digital Asset volatility, exchange rate fluctuations, liquidity shortages, stablecoin depegging events, merchant disputes, third-party misconduct, operational disruptions, cybersecurity incidents, technical failures, compliance reviews, investigations, sanctions restrictions, regulatory actions, or refund processing activities. Without limiting the foregoing, PayFun shall not be responsible or liable whatsoever for any inability to recover Digital Assets, failed reversals, unsuccessful settlements, irreversible blockchain transactions, delays caused by third parties, or losses resulting from market conditions, blockchain network conditions, technical failures, merchant conduct, banking disruptions, or circumstances beyond PayFun’s reasonable control.

11. Amendments

11.1. PayFun reserves the unrestricted right, at any time and in its sole and absolute discretion and to the fullest extent permitted under Applicable Laws, to amend, revise, supplement, restate, replace, modify, suspend, discontinue, or otherwise update this Refund Policy, in whole or in part, without prior notice, consent, or liability.

 

11.2. Updated versions of this Refund Policy may be published, communicated, or otherwise made available electronically through the Platform, website, mobile applications, APIs, email communications, or other electronic means determined by PayFun.

 

11.3. Continued access to or use of the Services following publication, communication, or effectiveness of any revised Refund Policy shall constitute acknowledgment and acceptance of the updated Refund Policy.

12. No Waiver

12.1 Failure, delay, omission, or inability by PayFun to exercise, enforce, or rely upon any right, remedy, power, discretion, protection, entitlement, or provision under this Refund Policy or Applicable Laws shall not constitute or be construed as a waiver thereof, nor shall any partial exercise of any right or remedy preclude any further or additional exercise thereof.

13. Relationship with Terms

13.1. This Refund Policy forms part of and shall be read together with the Terms and Conditions, Privacy Policy, and any other policies, notices, guidelines, disclosures, rules, or terms issued by PayFun from time to time, and certain provisions contained therein may apply to this Refund Policy where applicable.

14. Inconsistency

14.1. In the event of any inconsistency, conflict, ambiguity, discrepancy, or difference between this Refund Policy and the Terms and Conditions, the Terms and Conditions shall prevail and govern to the fullest extent permitted under Applicable Laws where applicable, unless expressly stated otherwise in this Refund Policy.

15. Governing Law and Dispute Resolution

15.1. This Refund Policy shall be governed by and construed in accordance with the laws specified in the Terms and Conditions. Any disputes arising out of or relating to this Refund Policy shall be resolved in accordance with the dispute resolution provisions set out in the Terms and Conditions.
